Resignation of a Partner

The form and content of a Limited Liability Partnership (LLP) are unaffected by the simple admission or removal of partners. In order to take effect, a Partner’s resignation or removal must be duly recorded and the required paperwork must be filed with the Ministry of Corporate Affairs.

Overview

A partner in an LLP may resign from their position in accordance with the terms of the LLP agreement between the partners. A partner in an LLP may leave the LLP by providing written notice of resignation to the other partners in the LLP for a minimum of 30 days, provided that the LLP agreement contains no restrictions.

A partner in an LLP will be considered a partner unless the Registrar has been notified or other Partners have received written notice of the partner’s desire to quit.

Process of Resignation of a Partner

Step 1: Noting the surviving partner’s letter of resignation.
Step 2: Calling a meeting to discuss and settle other crucial matters pertaining to the departing partner’s debts, obligations, capital, and so forth.
Step 3: Drafting and carrying out an additional limited liability partnership agreement.
Step 4: LLP Forms 3 and 4 must be filed within thirty (30) days of the incident.
