Private Placement

One kind of capital raising event is a private placement, where securities are offered for sale to a select few investors. It is not the same as a public offering, where securities are offered for sale to any type of investor.

Overview

A small number of investors may get financial securities from a corporation, including shares and convertible securities. Private placements are governed under Section 42 of the Companies Act of 2013.

The maximum number of individuals to whom securities may be distributed through private placement during a fiscal year is 200 (qualified institutional buyers and employees who have received equities under the ESOP Scheme excluded). It will be deemed a public offering and the company will have to go through the public offering process if the sum surpasses the specified cap.

When providing securities through private placement, the following considerations must be made:

The application funds must be received by check, demand draft, or other financial means, unless cash is available.A minimum of Rupees 20,000 must be applied for by each individual.Unless an earlier offer or invitation has been fulfilled, withdrawn, or abandoned, the company will not engage in a private placement.The business will not advertise or make any public announcements regarding the private placement.A company, its promoters, and its directors may be fined up to the amount of the infraction or Rs. two crores, whichever is larger, if they breach the requirements of this section. Additionally, the company is required to reimburse members for all of their money within 30 days of the transaction.There is a cap of 200 subscribers for each type of security issue.

Checklist/Requirements

  • Company name or Corporate Identification Number (CIN).

  • Valid digital signature certificate (DSC) of the company’s current director Type of security to be Provided to new investor (debenture, preference, or equity).

  • Whether the investor is a new or current shareholder in the business.

  • Total amount of the proposed investment Name, address, occupation, and nationality of the investment; number of shares to be granted to the new investor.

  • The company’s debt structure.

  • PAN copies for each investor.

  • Assessment Report.Bank Statement (after the investment amount has been received).

Process of Private Placement

Step 1: Raise a request and have a discussion with the BBNC team.

Step 2: Client shares the required information and documents.

Step 3: Convene and hold a meeting (Board/Shareholders) and pass the relevant resolution.

Step 4: BBNC prepares and shares the necessary documents with the client.

Step 5: BBNC files Form MGT-14 with the Registrar of Companies (ROC).

Step 6: The company issues PAS-4 (private placement offer letter) to the proposed investor.

Step 7: The company receives the investment amount in its designated bank account.

Step 8: BBNC files PAS-3 (return of allotment) with the ROC.

Step 9: BBNC pays the applicable stamp duty on the share certificate.

Step 10: BBNC issues the share certificate to the investor.
